for International Training Certification Association
Chapter One General Principles
Item One ITCA is the shortened form of International
Training Certification Association,
Item Two Our association is a nonprofit global organization
founded in Colorado U.S.A. and is made up of units and
enterprises engaged in managing, training and consultation
services independently and experienced experts, scholars,
advisory agents in training and consultation area.
Item Three Aim of our association: ITCA devotes
itself to supplying in-service high-ranking managers
in worldwide enterprises with professional and high
level services of training and authentication; providing
enterprises or individuals with necessary management
skills and occupation development solutions in order
to bring up professional management elite and promote
the forming, development and maturation of the professional
manager stratum and promote the exchanges and cooperation
among training advisory organizations, enterprises,
institutions and individuals and promote the process
of global economy integration and realize training and
advisory business' industrialization, scale development.

Chapter Two Business scope
Item Six The Business scope of the association is:
1. To discuss and research the market environment and
developing directions of training and advisory industry.
To design standard system of manpower resources for
enterprises, establish training course, profession qualification
authentication and management consulting service systems
according to the need for enterprises' development.
2. To do research and set the training and advisory
standard, and other standard such as work qualifications
and profession morality standard and, moreover, to impulse
and carry out them; to promote member units to adhere
to objective, fairness, science and reliable principle,
to safeguard the legitimate rights and interests of
the trade, to help the trade to promote self-discipline
and highlight the profession morality and to protect
the legitimate rights of the consumers.
3. To organize some discussion and inter-activities
about training course management, profession qualification
authentication, consulting management, meeting forum,
audio-video teaching material publication; to have some
training for the employees in order to improve the operation
level or before they enter the qualifying examination
of operation; to promote to carry out relevant systems.
4. To impulse the communication and corporation among
the government, enterprise organizations, unit members
and individual members; to promote the managing ability
of organization and individual, to advocate studying
all the life and promote the establishment of the studying
society.
5. To set up the network promotion platform, editor
proceedings and other publication relevant to training
advisory management and to help the members to obtain
intelligence support.
6.To hold member's conference regularly and elect the
council.
Chapter Three Membership
Item Seven The members of our association can
be divided into two parts: unit member and individual
member. All public institutions, enterprises and units
that are not legal person's unit of enterprises and
all the experts, scholars and person experienced in
the consultation and management, as long as they accept
regulation of ITCA, and engage in the business of managing,
training and consultant, can apply to our association
for membership.
Item Eight Those who apply to our association
for membership must accord with the following qualifications:
Unit member:
1. The training advisory organization must be established
with the approval of local government and have obtained
the business license for training and consultation.
2. The organization must accept regulation of ITCA,
be willing to attend the activities organized by our
association and support ITCA's relevant work.
Individual member must:
1. Accept the regulations of ITCA.
2. Be willing to join our association.
3. Have certain influence in the training advisory area.
Item Nine Procedure for the members to join
our association:
1. Submit the registration form.
2. Submit the copy of legal person license issued by
the registration organ. (unit member only)
3. Submit the copy of personal ID card.
4. Pass through the council's discussion.
5. Membership card to be issued by the council or organizations
authorized by the council.
Item Ten Member's rights:
1. Suffrage, right to be elected and right to vote of
this association.
2. Right to take part in the activities organized by
our association.
3. To obtain priority of our association's services.
4. Right to supervise, comment and advise to our association.
5. Voluntary to join the association and free to quit.
Item Eleven Member's obligations:
1. Carry out the resolution of our association.
2. Protect the legal rights and interests of the association.
3. Complete the work assigned by the association.
4. Pay membership fees according to the regulation.
5. Report problems to the association and provide relevant
materials.
6. Abide by the regulation of our association and join
the activities organized by the association.
Item Twelve The member should apply in written
form to the association for quitting and return the
membership card accordingly.
If the member doesn't pay the membership fees or attend
the activities organized by the association, it will
be treated as automatic quitting.
Item Thirteen Serious violations of the ITCA regulation,
the association can eliminate name of the member after voted
by the council or administrative council.
Chapter Four the election and recall of the
organizational institutions and the leaders
Item Fourteen The highest authority of the association
is the member's congress, held once a year and its authority
is:
1. To draft and revise the regulation.
2. To elect and recall council members.
3. To deliberate the work report and finance report of the
council.
4. To determine the stop of relevant matters.
5. To determine other important matters.
6. Other rights that the regulations have granted.
Item Fifteem To hold member's congress, the minimum
attendance required is 2/3 or above of the total members.
To make the resolution of the congress come into force, the
minimum votes required is 1/2 or above of the quantity of
member representatives attending the meeting.
Item Sixteen Member's congress will be held every
3 years. To hold the congress ahead of time or delay according
to special reasons, the decision made must pass by the voting
of council and be reported to administrating department and
get the admissions from the association registration managing
organization. But the delay should not be over one year.
Item Seventeem As the executive organization of the
member's congress, the council will lead the association and
manage the routine affairs when the congress is closed. The
council is responsible to the member's congress.
Item Eighteen
The council's rights:
1. To carry out the resolutions of the member's congress;
2. To elect and recall the president of association, vice- president
of association, director and other leading members;
3. To do the preparations to hold the member's congress.
4. To make work report and finance report to the member's congress
5. To decide the recruiting and expelling of the member
6. To make decision to establish executive organ, branch organ,
representative organ and entity organizations, to decide and
approve the election and recall of the subordinate organization
leaders.
7. To lead each organization of this association to develop
and grow;
8. To draft internal management institutions;
9. To decide other important matters.
Item Nineteen The council will be held only with 2/3
or above attendance, and the decision made by the council
will go into effect only with 2/3 voting.
Item Twenty The council will be held at least
once a year; under special conditions, the council can be
held through telecommunications.
Item Twenty-One The association will set up standing
committee. The standing committee will be elected by the council.
When the congress is closed, the standing committee will have
such rights as the First, Third, Fifth, Sixth, Seventh and
Eighth of item Eighteen and is responsible to the congress.
The members of standing committee cannot be more than one
third of the congress' members.
Item Twenty-Two The standing committee will be held
only with 2/3 or above attendance, and the decision made by
the standing committee will go into effect only with 2/3 voting.
ItemTwenty-Three The standing committee will
be held at least once a year; under special conditions, the
standing committee can be held through telecommunications.
Item Twenty -Four The president and vice-president
of the association must accord with the following qualifications:
1. Have much influence in the business scope of the association.
2. Age about 70 or under.
3. Healthy and can work on a regular basis.
4. Never been deprived of the privilege of political right
from a citizen, and never been punished by the criminal law.
5. With full capability of civil case.
Item Twenty-Five The president or vice-president,
whose age over the oldest recognition age, cannot hold the
position unless voted by council and be reported to administrating
department and get the admission from the association registration
managing organization.
Item Twenty-Six The president or vice-president
will be reelected every 5 year. To hold the position delay
of time according to special reason, the decision made must
be vote by two third of the council and be reported to administrating
department and get the admissions from the association registration
managing organization. But the delay should not be delayed
over one year.
The president of ITCA is the legal representative of the association.
The legal representative of ITCA cannot have the same position
pluralism in other organizations.
Item Twenty-Seven The responsibilities of president
of ITCA:
1. To summon and host the member's congress, the member's
council, the standing committee and work conference of the
association.
2. To inspect the implementation of the decision made by the
member's congress, the member's council, the standing committee
and work conference of the association.
3. To decide the engagement of secretary-in-general, deputy
secretary-in-general and person in charge of every institutions.
4. To sign important files as the representative of ITCA.
Item Twenty-Eight The rights of
secretary-in-general:
1. To assist the president in doing routine work and
organize the fulfillment of Year Plan.
2. To coordinate the branch institutions and represent institutions
and entity institutions to develop.
3. In charge of engaging the employees of the work institutions,
representative institutions and entity institutions.
4. To deal with other routine work.
Item Twenty-Niner According to work demand, the association
can hold routine meetings on an irregular basis, establish
some profession committee to engage in doing all kinds of
profession activities.
Chapter Five Management and Usage
of Capital
Item Thirty-One The funds of ITCA are from the following
sources:
1. Membership fee
2. Donation
3. Subsidy
4. Income from training and consultant services
5. Interests
6. Other legal income
Item Thirty-Two The association charge membership
fee according to relevant regulations.
Item Thirty-Three The funds of ITCA must be used to
develop the business or projects in the business scope of
Regulations of ITCA. The funds cannot be admeasured to the
members of ITCA.
Item Thirty-Four The association will establish a
strict system of finance management to make sure that the
account information is legal, authentic, accurate and complete.
Item Thirty-Five The association have accountants
with professional quality and the accountant cannot be the
pluralism of cashier. The accountant must audit and be supervised.
When an accountant is redeployed or resigns, he or she must
hand over work-related issue to the take-over personnel.
Item Thirty-Six The capital management must
strictly accord with the financial management regulations
set by the government and should be under the supervision
of the member's congress and financial department. The capital
from government appropriation or denoted by society must be
supervised by auditorial department and relevant circumstance
should be published to the public in appropriate ways.
Item Thirty-Seven To reelect member's congress
or change the legal representative of ITCA, the financial
audit organized by registration managing organization and
administrating department must be done ahead of time.
Item Thirty-Eight The capital of ITCA cannot
be misappropriated and admeasured by any unit or person.
Item Thirty-Nine The salary, insurance and
welfare standard of ITCA's full time staff will be executed
referring to relevant regulations.
Chapter Six The Revisory Procedure of ITCA's
Regulation
Item Forty Any revision to ITCA's Regulation
must be voted by the council before being reported to member's
congress for considerations.
Item Forty -One The revised regulations will go into
effect 15 days after being passed by member's congress and
agreed by administrating department and reported to registration
managing organization.
Chapter Seven The Termination Procedure
and Capital Disposal after Terminated
Item Forty-Two When the association has achieved
its aim or been disbanded voluntarily or canceled owe to other
reason such as schism, combination etc., the council or the
standing committee can put forward the termination procedure.
Item Forty-Three The termination procedure of ITCA
must be voted by council and be reported to administrating
department and get the admissions from the association registration
managing organization.
Item Forty-Four Before terminated, the association
should establish a liquidation organization under the instruction
of administrating department and relevant departments to liquidate
the creditor rights and liability for the debt and deal with
relevant cases after termination. During the period of liquidation,
no activities but liquidation will be promoted.
Item Forty-Five The association will close as soon
as the canceling procedure have been done in registration
managing organization.
Item Forty-Six The capital remained after the association
terminated will be used to develop the business interrelated
to the association's aim under the supervision of administrating
department and registration managing organization according
to government relevant regulations.
Chapter Eight Supplementary Articles
Item Forty-Seven The Regulation was voted
by member's congress and passed since May 16th,2005.
Item Forty-Eight The council of ITCA have
the explanation right of the Regulation.
Item Forty-Nine The Regulations of ITCA will
go into effect as soon as it is approved by the registration
managing organization.
